Professional Services Limitations

  • Successful system integrations without unforeseen technical challenges
  • Approval of compliance audits by third-party auditors
  • Prevention of all security incidents or data breaches
  • Specific performance metrics (e.g., application speed improvements)

Results vary based on: Client infrastructure, user adoption, third-party dependencies, business processes, and implementation quality.

2. Third-Party Dependencies

Our solutions may rely on third-party software, platforms, APIs, or services (e.g., AWS, Azure, Google Cloud, Stripe, Twilio). We are not responsible for:

  • Third-party service outages, downtime, or degraded performance
  • Changes to third-party APIs, pricing, or terms of service
  • Security vulnerabilities in third-party software or libraries
  • Discontinuation of third-party services
  • Data breaches originating from third-party providers

Client Responsibility: Review and accept third-party terms of service, privacy policies, and SLAs independently.

3. Technology and Software Limitations

Technology is inherently imperfect. While we follow industry best practices:

  • No software is bug-free: We conduct thorough testing, but unforeseen edge cases may arise.
  • Security is ongoing: No system is 100% secure. We implement defense-in-depth strategies, but zero-day vulnerabilities and advanced threats may exist.
  • Performance varies: System performance depends on infrastructure, network conditions, user load, and data volume.
  • Compatibility: We test on major platforms and browsers, but cannot guarantee compatibility with all configurations.

Client Responsibilities

Successful outcomes require active client participation. Clients are responsible for:

1. Accurate Information

  • Providing complete, accurate, and timely information about business requirements
  • Disclosing relevant technical constraints, legacy systems, and integration points
  • Informing us of regulatory requirements specific to your industry or region
  • Notifying us of any changes in project scope or priorities

2. Independent Verification

  • Reviewing all deliverables and providing timely feedback
  • Conducting user acceptance testing (UAT) before production deployment
  • Verifying compliance with internal policies and external regulations
  • Testing disaster recovery and business continuity procedures

3. Implementation and Maintenance

  • Following best practices and documentation provided
  • Maintaining systems with regular updates and patches
  • Monitoring system health and addressing alerts promptly
  • Training internal staff on proper use and administration
  • Maintaining adequate backups and disaster recovery plans

4. Security Hygiene

  • Implementing strong password policies and multi-factor authentication
  • Restricting access to authorized personnel only
  • Conducting regular security training for employees
  • Reporting security incidents immediately

Limitations of Liability

Liability Cap

To the maximum extent permitted by law, GivBest Consulting's total liability for any claims arising from our services shall not exceed the total fees paid by the client for the specific service giving rise to the claim, or $10,000 USD, whichever is less.

We are NOT liable for:

  • Indirect, incidental, consequential, or punitive damages
  • Lost profits, revenue, data, or business opportunities
  • Business interruption or downtime
  • Reputational harm or loss of goodwill
  • Costs of substitute services or products
  • Damages arising from client's failure to follow recommendations
  • Acts of third parties, including cyberattacks or data breaches not caused by our negligence

No Warranties

Our services are provided on an "AS IS" and "AS AVAILABLE" basis. We disclaim all warranties, express or implied, including but not limited to:

  • Merchantability: Fitness for a particular purpose
  • Non-Infringement: That services will not infringe third-party intellectual property (we use best efforts to avoid infringement)
  • Uninterrupted Service: Services may experience downtime for maintenance, upgrades, or unforeseen issues
  • Error-Free Operation: We fix bugs promptly but cannot guarantee zero defects
  • Specific Results: Outcomes depend on numerous factors beyond our control

Security and Data Protection

While we implement industry-standard security measures:

  • No Absolute Security: No system is completely secure. We follow defense-in-depth principles but cannot prevent all attacks.
  • Client Data Responsibility: Clients remain data controllers under GDPR/CCPA. We act as a data processor but clients are responsible for lawful data processing.
  • Shared Responsibility Model: Cloud security is shared between GivBest, cloud providers, and clients. Clients must secure their authentication, access controls, and configurations.
  • Incident Response: We notify clients of security incidents affecting their data within required timeframes, but clients are responsible for regulatory notifications.

Open Source and Third-Party Code

Our solutions may incorporate open-source libraries and frameworks. We:

  • Select reputable, actively maintained open-source components
  • Disclose all open-source dependencies and their licenses
  • Monitor for known vulnerabilities and apply patches promptly
  • Ensure license compatibility with client use cases

Disclaimer: We are not liable for vulnerabilities, bugs, or license compliance issues in third-party open-source code. Clients should review open-source licenses independently.

Changes to Services and Features

We reserve the right to:

  • Update, modify, or discontinue features with reasonable notice
  • Upgrade underlying technologies to improve security and performance
  • Change APIs, data structures, or integrations (with migration support where feasible)
  • Retire legacy services that are no longer secure or maintainable

Notice Period: We provide at least 90 days' notice for material changes to SaaS platforms. Custom development projects are governed by individual SOWs.

Governing Law and Disputes

This disclaimer and all services are governed by the laws of the State of Texas, USA, without regard to conflict of law principles. Any disputes shall be resolved through:

  1. Good Faith Negotiation: Parties agree to attempt resolution through direct negotiation for 30 days.
  2. Mediation: If negotiation fails, parties agree to non-binding mediation.
  3. Arbitration or Litigation: Unresolved disputes may proceed to arbitration (AAA rules) or litigation in Texas state or federal courts.
